About

Myles is an M&A Associate and charity law expert. He specialises in cross-border mergers and acquisitions, corporate real estate transactions and complex governance issues as well as share buybacks and joint venture arrangements.  

Myles has extensive experience leading cross-departmental teams on M&A transactions, ensuring that the complex projects are run efficiently. 

He provides strategic advice to household brands, investors, high net worth individuals and family offices on their deals. 

Myles deals with a lot of international M&A work, and has recently (since October 2024) advised clients from the US, France, Spain, the Netherlands, Cyprus, Hong Kong and South Korea.

Myles is a member of the corporate real estate team and advises on asset and share acquisitions, group restructures and corporate finance. His work includes acting for hotels, retail and leisure brands, restaurant chains and property developers.  

As well as transactional advice, Myles has a comprehensive grasp of the Companies Act 2006 and regularly advises on technical company law matters such as share-buyback arrangements, removing directors, substantial property transactions, branch registrations, People with Significant Control and governance disputes. 

In addition, Myles has over 10 years experience advising charities and not-for-profit organisations.

As well as charity registrations, governance advice and trustee duties, Myles advises on commercial participation agreements and Charity Commission compliance matters for education, sport, arts and faith charities in particular.  

Myles has acted for a number of charities selling or spinning out profit making business and deals with Charity Commission consent, trading subsidiaries and joint use agreements.

  • Lead advisor on the acquisition and group restructuring of a large retail group, including joint venture arrangements.   
  • Advising a high-net-worth individual on the heads of terms for the sale of an investment property in a French ski resort. 
  • Lead advisor for a hospitality chain on the acquisition of a 100 bedroom hotel in Liverpool.
  • Advising a South Korean group on opening a branch office in London.
  • Advising a Singaporean investor, as part of a cross-department team, on its acquisition of a £70m property portfolio. 
  • Advising on a buyback agreement following the settlement of a shareholders' dispute.  
  • Advising on the hive off of a profit-making software business from a charitable trust to a US telecommunications company.
  • Attending the AGM of a not-for-profit client to manage the election of their chair, vice-chair and treasurer. 
  • Advising trustees on a complex and technical Charity Commission application to have their charity-status removed. 
  • Acting for a family investment group on its purchase of preference shares in 56 private companies.
  • Advising a charitable institution on the sale of its independent school to a Chinese investor.
