Marc Proudfoot is a capital markets solicitor specialising in investment trusts, real estate investment trusts (REITs) and venture capital trusts (VCTs). He heads the Investment Trust practice.

Marc is a capital markets lawyer, with a particular focus on closed-ended investment companies such as investment trusts, VCTs and REITs. Marc's knowledge and experience of the listed investment funds sector and capital markets more generally, means that he is able to give precise, commercial and effective advice to Boards and investment managers.

Marc has experience of advising on the full life cycle of a listed company. This includes structuring the company for IPO, raising additional capital through secondary fundraisings and de-listings. He is also experienced in the full range of corporate actions, such as takeovers, mergers and capital reductions. 

Through the firm's FCA regulated arm, Howard Kennedy Corporate Services LLP, Marc is also able to provide sponsor services to listed investment funds. This provides his clients with unique access to a sponsor purely focussed on the closed-ended investment funds space and the expertise that this brings, but at a cost effective price range. 

Marc provides his clients with straight forward advice, tailored to their specific needs. His reach across the listed funds industry and across a variety of different advisers, allows him to provide invaluable insight to Boards and investment managers. 

Recent work

In a market with limited IPO activity, Marc has advised on the listing of four main market investment companies over the last two years. Including the IPO of Ashoka WhiteOak Emerging Markets plc, the only successful investment trust IPO in the period from 2021.

Marc has advised on successful secondary fundraisings for the Baronsmead and Maven VCTs, as well as Hargreave Hale AIM VCT plc. He also advised the boards of investment trusts such as Henderson European Trust plc and Shires Income plc, in relation to various corporate transactions.
