Kelly Kapinos is a solicitor in the Corporate department, advising UK and international clients on a wide range of corporate transactions and issues.
Kelly undertakes a wide range of transactional and non-transactional corporate work including mergers and acquisitions, corporate wrapper sales, pre-pack administration sales, corporate restructuring, joint ventures and general company law matters.
Prior to joining Howard Kennedy, she trained and worked as an in-house solicitor and manager at a large accounting firm, undertaking general contractual and commercial work and providing a variety of support and advice to the transactional teams.
Kelly experienced a diverse training contract which included secondments at Howard Kennedy and a large international law firm, completing seats in Restructuring and Insolvency, Mergers and Acquisitions and Commercial Dispute Resolution.
Her background and commercial experience means that she is able to quickly understand commercial issues and use her initiative to provide a suitable approach.
- Acting for a well-known retail franchisor on its buy-back acquisition strategy, including providing advice and acting for the franchisor on business and share purchases for over 120 stores.
- Acting for a property investment group on its corporate wrapper acquisition of a UK company, which owned a freehold property in Manchester, from a public commercial real estate investment trust listed on the LSE.
- Advising on numerous family investment companies, including the issue of growth shares and a share for share exchange.
- Acting for a property design and development company on its corporate wrapper acquisition of both a UK and Guernsey company, each owning various freehold and leasehold interests in London, from a pan-European real estate investment manager. The transaction was backed by buy-side warranty and indemnity insurance.
- Acting on numerous joint venture shareholder agreements.
- Acting for a French company on the sale of its entire issued share capital in an SPV, which owned a luxury leasehold property in Mayfair.
- Acting for administrators on a number of pre-pack administration sales, including London based event management companies, retail shops and restaurants, pubs and a well-known bakery.
- Acting for a real estate developer and their investors on the refinancing and sale of a large UK student accommodation portfolio including cross jurisdiction transactions.
- Acting for an office services supplier on numerous acquisitions of a number of print and related services companies.
- Acting for a US company on its acquisition of a UK target holding company together with its 20 multi-jurisdictional subsidiaries.
Kelly loves to travel with recent destinations including Mauritius, Dubai, Seychelles, Barbados, Maldives, many Greek islands and Costa Rica. She is also regularly in Athens.
