About

Ian Scott is an experienced solicitor advising on corporate and commercial transactions, including establishing, raising funds for and merging VCTs (venture capital trusts) in both legal adviser and sponsor roles.

Ian uses specialist sector knowledge to deliver a responsive, commercially driven and cost effective service to his clients.

Ian has considerable experience working with VCTs in a legal capacity as well sponsor role (acting through Howard Kennedy's FCA registered sponsor entity, Howard Kennedy Corporate Services).  

As well as advising established VCTs on their fundraisings, mergers with other VCTs and winding up, Ian also advises investment managers on the establishment of new VCTs and their initial fundraisings. He advises existing and prospective VCT investment managers in transferring investment mandates of existing VCTs between VCT investment managers, or to investment managers who are seeking to entering into the VCT market by taking over established VCTs.

Ian has also acted on a range of company and commercial matters for public and private companies. This includes advising on corporate finance, private fundraisings, mergers and acquisitions, joint ventures, court supervised capital reductions, general corporate and commercial transactions, and company law.

Ian advises on domestic and international M&A transactions, including acting for individual sellers and corporate groups on the purchase and sale of UK companies to foreign corporations (both to trade buyers and private equity backed entities).

  • Advised numerous VCTs on further fundraisings through the issue of prospectuses and top-up offer documents.
  • Advised on the launch of a new AIM-focused VCT and its initial fundraising.
  • Advised numerous VCTs on mergers with other VCTs.
  • Advised on the sale of a UK based car parts group to a US private equity backed buyer.
  • Advised on the sale of a UK based printing group to a European based private equity fund.
  • Advised on the establishment of Enterprise Investment Scheme (EIS) companies and their fundraising.
  • Advised on the purchase of a UK based Intellectual Property creation company by a US corporation.
  • Advised VCTs on court approved reductions of capital and share premium cancellations.
  • Provided ongoing sponsor advice to VCTs and liaison with the FCA on matters relating to the UK Listing Rules.

Did you know
One day Ian woke up and decided that he would do something a bit different (with a physical  challenge). He set off on a racing bike the next day (with small back pack but no map) and cycled over 1,300 miles from Northern France over the Pyrenees to Granada (but thought best to fly back!).
