Nisha Ladha is a corporate solicitor advising UK and international clients on a range of corporate transactions including mergers and acquisitions, investments, fundraisings and joint ventures. 

Nisha acts for public and multinational companies, owner-managed businesses and institutional lenders. She undertakes a wide range of corporate and commercial work with a strong international focus. 

On the non-transactional side, she supports clients on corporate governance and advisory matters, providing them with valuable corporate and commercial advice. 

She is extremely approachable and guides her clients through every stage of the deal from heads of terms to due diligence and preparation of deal documents to post transaction transition on both buy and sell side. 

She acts for clients in most industries, however she has a particular focus on real estate, retail and fintech. In addition, she has a detailed understanding of owner-managed businesses. 

Nisha makes a conscious effort at the beginning of every transaction to understand her client's business, operations and commercial objectives. She understands that buying and selling businesses is not only an important commercial decision but also an important emotional decision and often, the most important thing that her client has ever done.

  • Acted for the sellers of Impact Air Systems, the UK's leading air systems specialists, on its sale to a Swedish publicly listed technology trading group.
  • Acted for the sellers of Durite Limited, the UK's leading vehicle safety and auto electrical parts company on its sale to global market leader Safe Fleet. 
  • Acted for the Sellers of CS2 Limited, a well-known construction consultancy business to RSK Group.
  • Acted for Mirada Plc on the sale of its subsidiary, Mirada Connect which delivers cross platform transaction interaction and payment solutions for parking services operators and owners of parking facilities to PayByPhone UK. 
  • Acted on a multi-jurisdiction, distressed transaction for the administrators of an Australian company in connection with the refinance and debt and equity purchase of a mine in Nigeria with stakeholders in Australia, the UK, Hong Kong and Nigeria.
  • Acted on the distressed sale of a balance sheet insolvent construction company to an institutional buyer involving a reverse premium. 
  • Acted for a family office in a large-scale reorganisation and split of assets between family members involving a portfolio of over 100 properties involving reassignment of debt and distributions of cash and assets.
