Myles Taaffe is a solicitor advising individuals and businesses on their corporate transactions. He has particular expertise with Companies Act compliance and has advised charities, non-profits and HNW families, as well as multinational companies.

He acts on a wide variety of corporate transactional work including share and asset acquisitions, hive offs and general corporate governances matters. 

Myles has particular expertise in relation to Companies Act compliance including the PSC rules, substantial property transactions, conflicts of interest, directors' duties and shareholders' rights. 

He regularly advises in relation to shareholder disputes, including guidance to boards and shareholders preparing for contentious members' meetings and the contentious removal of directors.

  • Advising on the hive off of a profit-making software business from a charitable trust to a US telecommunications company.
  • Advising in-house counsel on the hive off of a lucrative software business from a heavily regulated data analysis company to an unregulated private company.
  • Acting for a family investment group on the incorporation of two holdings companies and their purchase of preference shares in 56 private companies.
  • Acting for entrepreneurial clients on their asset purchase of a large golf course, membership business and events venue. 
  • Advising the trustees of an independent school on the sale of the school to a Chinese investor. 
  • Advising a Guernsey-based property holdings company on a debt for equity swap with its English subsidiary.
  • Advising a US-based client on the terms of her settlement with a fellow shareholder and the sale of her shares via a share buy-back.
  • Advising an employee/shareholder on his exit options following a dispute with a majority shareholder.
