Matthew Astbury is a corporate solicitor who acts for shareholders, companies, directors and institutions on a number of transactions, including IPOs on the Official List and AIM, secondary fundraisings, corporate governance and compliance.  

Matthew is a member of the Corporate department and specialises in corporate finance transactions, advising private shareholders, founders, companies, directors and institutions. 

His work includes working with companies seeking pre-IPO fundraising, advising companies on successful IPOs on the Acquis Exchange and AIM, as well as, acting for main market listed companies (in particular investment companies). 

Following IPO, Matthew advises on secondary fundraising such as placings, open offers, and further public offers. He additionally advises companies and their boards on their ongoing responsibilities under the relevant market rules, corporate governance, and compliance with the Market Abuse Regime and the Takeover Code. 

Matthew also takes a role on public and private mergers and acquisitions, joint venture arrangements, and other general corporate and commercial transactions.

Matthew is in regular contact with the FCA when providing advice to clients through Howard Kennedy's regulated sponsor arm to investment trusts listed on the main market of the London Stock Exchange.

  • Advising Mirada, an AIM traded company, on a placing, loan to equity conversion, and takeover code whitewash and on a further subsequent loan to equity capitalisation.
  • Advising ProVen and ProVen Growth VCTs  on their main market share offers to raise £80m.
  • Advising Hargreave Hale AIM VCT on its main market share offer to raise £30m.
  • Advising Everyman Media Group, an AIM traded company, on a placing.
  • Advising Filta Group Holdings on its IPO and admission to AIM, and a subsequent placing.
  • Acting as sponsor and lawyer to Hargreave Hale AIM VCT 1  and Hargreave Hale AIM VCT 2  (both listed on the main market) on their merger by way of s110 scheme of reconstruction.
  • Advising Ethernity Networks Limited on its IPO and admission to AIM.
  • Advising Comptoir Libanais on its IPO and admission to AIM, and a subsequent placing.
